A law firm in Charlotte, NC, is seeking a seasoned Private Fund/CFO Associate Attorney with substantial experience in collateralized fund obligations (CFOs), private funds, debt capital markets, NAV facilities, and/or similar structured financing products. The ideal candidate should have a minimum of 3 years of experience and must possess strong capabilities in running deals, managing teams, and drafting primary deal documents. They should be driven individuals eager to learn and capable of making an immediate impact in a vibrant and expanding client-facing practice.

 

Duties and Responsibilities:

  • Lead and oversee legal aspects of collateralized fund obligations, private funds, debt capital markets transactions, NAV facilities, and structured financing products.
  • Draft, review, and negotiate complex transactional documents including fund formation agreements, subscription agreements, offering memoranda, and credit agreements.
  • Conduct thorough due diligence, assess legal risks, and ensure compliance with regulatory requirements and industry standards.
  • Provide strategic legal advice and guidance to clients on fund structuring, operational matters, and regulatory compliance issues.
  • Collaborate effectively with clients, internal teams, and external stakeholders to achieve transaction objectives and meet project timelines.
  • Mentor and supervise junior associates and legal staff involved in private fund and structured finance matters.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the North Carolina Bar or eligibility for admission by waiver.
  • Minimum of 3 years of progressive experience practicing law with a focus on private funds, structured finance, collateralized fund obligations, and related transactions.
  • Strong understanding of debt capital markets, NAV facilities, and structured financing products.
  • Proven track record of independently managing and closing complex financing transactions with attention to detail and accuracy.
  • Excellent drafting skills with the ability to produce clear and concise legal documents and agreements.
  • Exceptional analytical skills and the ability to analyze legal and business issues effectively.
  • Outstanding communication and interpersonal skills to interact professionally with clients and colleagues.

 

Preferred Skills:

  • Experience representing investment funds, financial institutions, asset managers, or other entities in private fund formation and structured finance transactions.
  • Familiarity with regulatory frameworks and compliance issues relevant to private funds and structured finance.
  • Previous experience in mentoring or managing junior attorneys and legal staff in a transactional practice setting.
