Job Overview

A nationally recognized law firm is seeking a Mid-Level Associate to join its Executive Compensation and Benefits practice in Nashville, Tennessee. The ideal candidate will have 3+ years of focused experience advising on employee benefits and executive compensation matters, particularly in connection with corporate transactions. This role offers a collaborative environment with substantive training, mentorship, and opportunities to contribute meaningfully to client matters.

Duties

  • Advise clients on executive compensation and employee benefit issues in M&A and other corporate transactions

  • Provide counsel on deferred compensation arrangements, equity incentive plans, retirement plans, and welfare benefits

  • Draft and review plan documents, agreements, and related disclosures

  • Conduct due diligence related to benefit plans in connection with corporate transactions

  • Collaborate with tax, employment, and corporate teams on cross-functional legal matters

  • Stay up to date with evolving legal and regulatory requirements affecting employee benefits

Requirements

  • 3–5 years of experience practicing executive compensation and benefits law

  • Prior experience working on employee benefits issues in the context of M&A transactions

  • Strong research and drafting skills with high attention to detail

  • Ability to manage responsibilities independently and meet deadlines

  • Must be a resident of the Nashville, TN area or willing to relocate before start date

Education

  • Juris Doctor (J.D.) from an ABA-accredited law school

Certifications

  • Active member of the Tennessee Bar or eligible and willing to become licensed in Tennessee

Skills

  • Proficiency in legal issues related to ERISA, IRC Sections 409A, 280G, and related regulations

  • Excellent written and verbal communication skills

  • Strong organizational skills and ability to manage multiple client matters

  • Ability to work collaboratively with both legal teams and business professionals

  • Commitment to client service and high professional standards
