Junior Financial Restructuring Finance Associate Attorney

A law firm is seeking a highly motivated and detail-oriented Junior Financial Restructuring Finance Associate Attorney to join its team in New York City. The ideal candidate will have 2-3 years of experience handling complex debt financing transactions and be eager to develop a broad skill set, including work on restructuring and special situations. This role offers the opportunity to represent clients in a variety of financing transactions, both performing and distressed. The firm seeks a candidate with a strong foundation in leveraged finance and a willingness to expand their expertise in restructuring finance.

Key Responsibilities

• Assist with the structuring, negotiation, and documentation of a variety of complex debt financing transactions
• Work on acquisition financing, particularly for sponsor-backed middle-market companies
• Handle term loan facilities, working capital facilities, and unitranche facilities
• Draft and review commitment letters, sponsor grids, and intercreditor arrangements
• Advise clients on special situations, including workouts and restructuring transactions (both in and out of court)
• Support clients in distressed credit situations and provide guidance on debt restructuring options
• Collaborate with partners, senior associates, and clients to execute financing transactions smoothly
• Perform due diligence, prepare closing documents, and ensure compliance with financing agreements
• Stay updated on industry trends in financial restructuring and leveraged finance
• Develop strong relationships with clients and provide strategic, business-focused legal advice

Required Qualifications

• 2-3 years of experience working on complex debt financing transactions
• Solid understanding of acquisition financing, term loan facilities, working capital facilities, and unitranche facilities
• Familiarity with commitment letters, sponsor grids, and intercreditor arrangements
• Experience representing clients in special situations, including workouts and restructuring transactions
• Strong academic credentials and professional references
• Intellectual curiosity and willingness to expand knowledge into distressed credit and financial restructuring

Preferred Qualifications

• Experience with distressed credit and restructuring transactions (in-court and out-of-court) is a plus
• Background in sponsor-backed financing transactions for middle-market companies
• Familiarity with handling financial restructurings in various jurisdictions

Education and Certifications

• Juris Doctor (JD) from an accredited law school
• Active membership in good standing with the New York State Bar (or eligibility to obtain)
