Duties:

  • Assist clients with complex financing transactions, such as private equity and acquisition financing, strategic debt structuring, asset-based lending, and other debt-related matters.
  • Draft, negotiate, and review various financial agreements, including loan agreements, equity and debt securities, and related legal documents.
  • Collaborate with senior attorneys and clients to develop effective strategies and solutions tailored to each client's unique business needs.
  • Provide clear, well-organized advice and support to clients while maintaining a high level of communication with all stakeholders.
  • Manage multiple projects simultaneously while adhering to tight deadlines and delivering high-quality results.
  • Demonstrate excellent problem-solving abilities and exhibit energy and enthusiasm in client counseling.
  • Foster strong relationships with clients, actively participate in business development efforts and assist in networking to create new opportunities.
  • Continuously expand legal knowledge, skills, and professional expertise through formal and informal training.

Requirements:

  • 4 to 6 years of experience in corporate finance transactions, particularly in a law firm environment.
  • Ability to manage and prioritize multiple tasks, ensuring high-quality performance within demanding timeframes.
  • Exceptional interpersonal, organizational, and communication skills, both written and verbal.
  • Strong analytical and critical thinking abilities.
  • J.D. from an ABA-accredited law school.
  • Admission to the Illinois or Michigan Bar (or eligibility to waive into either jurisdiction).
  • Willingness to travel as client needs require.

Education:

  • Juris Doctor (J.D.) from an ABA-accredited law school.

Certifications:

  • Licensed to practice in Illinois or Michigan, or eligibility to waive into either jurisdiction.

Skills:

  • Expertise in corporate finance, including debt financing, private equity transactions, and acquisition structuring.
  • Strong legal drafting and negotiation skills.
  • Ability to work efficiently and effectively under pressure.
  • Demonstrated ability to handle complex legal issues and provide innovative solutions.
  • Excellent relationship-building skills and a proactive approach to business development.
