Job Overview:

A prestigious law firm is currently seeking a mid-level corporate associate attorney to join its Capital Markets and Public Companies group. This position is based in New York City and requires a candidate with solid experience advising public companies or investment banks on SEC compliance, governance, and capital market transactions. Duties:

• Provide counsel to public companies regarding SEC compliance, corporate governance, and disclosure matters.
• Advise clients on exchange matters, including listing requirements and regulatory compliance.
• Represent issuers or investment banks in capital market transactions such as IPOs, SPACs, direct listings, and follow-on offerings.
• Collaborate with other teams to provide holistic legal solutions to clients in the technology and life sciences sectors.
• Draft and review securities filings, including registration statements and annual reports.
• Assist clients in navigating complex legal and regulatory environments, ensuring compliance with relevant laws.

Requirements:

• Minimum of 3 years of experience advising public companies or investment banks in capital markets transactions.
• Strong background in SEC compliance, disclosure, governance, and exchange matters.
• Experience with public offerings (IPOs, SPACs, direct listings) and follow-on offerings.
• Demonstrated interest or experience working with technology or life sciences companies is preferred.
• Admission to the New York Bar is required.
• Exceptional written, oral, and interpersonal communication skills.

Education:

• J.D. from an accredited law school.
• Strong academic credentials.

Certifications:

• Must be licensed to practice law in New York State.

• Excellent understanding of securities laws and capital markets.
• Strong legal research, writing, and analytical skills.
