Mid-level Corporate Associate Attorney

A law firm in Pittsburgh, PA is seeking a Mid-level Corporate Associate Attorney with 3-5 years of experience. The ideal candidate will have a strong background in mergers and acquisitions, corporate governance, private equity, securities, and general corporate work. Exceptional academic credentials and an active law license are prerequisites for this position.

Duties:

• Conduct legal research and analysis related to corporate transactions.
• Draft and negotiate transactional documents, including merger agreements, stock purchase agreements, and shareholder agreements.
• Advise clients on corporate governance matters, including board meetings, corporate disclosures, and compliance issues.
• Assist with private equity investments, including due diligence and deal structuring.
• Participate in securities offerings, including IPOs, secondary offerings, and private placements.
• Provide legal counsel on a variety of general corporate matters, such as contract drafting and review, corporate restructuring, and entity formation.

Requirements:

• 3-5 years of relevant experience in corporate law.
• Demonstrated expertise in mergers and acquisitions, corporate governance, private equity, securities, and general corporate work.
• Outstanding academic credentials from a reputable law school.
• Active law license in good standing.

Education:

Juris Doctor (JD) degree from an accredited law school.

Certifications:

Active law license.
