A law firm seeks a skilled Finance Associate to join its Boston office. This role involves supporting clients in complex financial transactions, including private credit lending, corporate financing, and regulatory compliance. The position provides the opportunity to work closely with experienced partners and play a vital role in facilitating financial deals.

Duties

  • Represent private credit lenders and borrowers in connection with term and revolving loan facilities for leveraged buyouts, acquisition financings, and corporate growth.
  • Draft and review financing documents, including loan agreements, security agreements, promissory notes, amendments, and ancillary documents such as consents, fee letters, and officer’s certificates.
  • Prepare perfection certificates and disclosure schedules; conduct detailed reviews of the Uniform Commercial Code (UCC), bankruptcy, judgment, intellectual property, and lien searches.
  • Oversee the creation, review, and filing of UCC-1 and UCC-3 filings.
  • Develop and maintain closing checklists, monitor the completion of checklist items, and facilitate the closing process.
  • Organize and compile closing documents, prepare closing binders, and manage post-closing deliverables to ensure all commitments are met.

Requirements

  • 1+ years of experience drafting detailed legal documents, such as contracts and agreements.
  • Proven ability to analyze case facts, legal precedents, and client goals to craft tailored legal solutions.
  • Experience conducting legal research and staying updated on current laws, financial regulations, and legal precedents.
  • Strong attention to detail, particularly in drafting precise and legally sound documents.
  • Ability to negotiate terms and conditions of transactions to protect clients’ interests.
  • Effective communication skills to present legal arguments, collaborate with clients and work with colleagues effectively.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Licensed to practice law in Massachusetts and in good standing with the bar.

Skills

  • Proficiency in financial law, including securities regulation, corporate finance, and banking law.
  • Familiarity with legal and compliance aspects of complex financial transactions.
  • Exceptional research, drafting, and analytical skills.
  • Strong organizational abilities to manage closing processes and meet deadlines.
  • Collaborative approach with excellent verbal and written communication skills.
