Job Overview:

A law firm is seeking a Mid-to-Senior Tax-Exempt Organizations and Philanthropy Associate Attorney to join their team. The ideal candidate will have significant experience advising private foundations, public charities, and philanthropists on complex legal and tax issues. This role involves working with nonprofit organizations on a wide range of corporate governance, tax compliance, and charitable giving matters. The successful candidate will also represent clients in federal and state audits while helping to structure innovative solutions involving both for-profit and nonprofit entities.

Key Responsibilities:

  • Advise private foundations and charitable organizations on complex legal and tax issues.
  • Assist in the formation and obtaining tax exemption for nonprofit corporations and charitable trusts.
  • Counsel private foundations on tax compliance, grant agreements, and succession planning.
  • Provide legal guidance to philanthropists making charitable gifts, including those utilizing donor-advised funds.
  • Advise large 501(c)(3) organizations on corporate governance, tax exemption issues, and unrelated business taxable income (UBTI).
  • Structure mergers, affiliations, and joint ventures of nonprofit organizations.
  • Offer legal advice on complex structures involving both for-profit and not-for-profit entities.
  • Represent tax-exempt organizations in federal and state audits related to tax and charitable issues.
  • Provide strategic counsel on the creation, maintenance, and dissolution of charitable entities.
  • Collaborate with cross-functional teams, including tax professionals and financial advisors, to optimize charitable giving strategies.

Requirements:

  • Experience in advising tax-exempt organizations and philanthropists.
  • Strong background in nonprofit governance, private foundations, and public charities.
  • Demonstrated experience with federal tax laws related to tax-exempt organizations.
  • Proven ability to handle complex legal issues involving mergers, joint ventures, and affiliations of nonprofit entities.
  • Extensive experience working with donor-advised funds, grant agreements, and philanthropic gifting.
  • Strong representation experience in federal and state tax audits for tax-exempt organizations.
  • Excellent legal research, writing, and communication skills.
  • Ability to manage multiple projects with tight deadlines and adapt to a fast-paced environment.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Illinois State Bar (or eligibility for waiver or reciprocity).

Skills and Competencies:

  • Expertise in nonprofit and tax-exempt law, including private foundation rules, public charity regulations, and tax compliance.
