The ideal candidate will have a robust background in private equity and structured finance and be able to manage complex transactions and provide strategic legal support.

Duties:

  • Handle transactions related to debt financing solutions, including collateralized fund obligations, rated note feeders, and NAV facilities.
  • Review and analyze private equity fund documents to ensure compliance and accuracy.
  • Draft and negotiate debt financing documents and related ancillary agreements.
  • Manage transaction processes, including coordinating with internal teams and external parties.
  • Provide legal advice and support to fund sponsors and lenders throughout the transaction lifecycle.
  • Stay updated on structured finance and capital market developments to inform practice and client advisories.
  • Contribute to client-facing initiatives and business development efforts.

Requirements:

  • Minimum of 3 years of experience in debt financing transactions involving private equity fund sponsors and lenders.
  • Proven track record of handling collateralized fund obligations, rated note feeders, and NAV facilities.
  • Prior experience with private equity fund sponsors and lenders.
  • Demonstrated knowledge of or interest in structured finance and capital markets.
  • Strong ability to draft and review complex legal documents and manage transaction processes.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Bar in North Carolina or eligibility for admission.

Certifications:

  • Active legal license in North Carolina or eligibility for admission.

Skills:

  • Expertise in debt financing transactions and private equity fund documentation.
  • Proficient in drafting and negotiating complex legal agreements.
  • Strong analytical and problem-solving skills.
  • Excellent communication and interpersonal abilities.
