A prestigious law firm is seeking a mid-level Private Funds Associate to join its Corporate Practice team focused on fund formation and investment management. This hybrid role involves working closely with private equity, venture capital, and hedge fund managers to assist in forming, structuring, and managing investment funds and other alternative investment vehicles. Duties

  • Assist private equity, venture capital, and hedge fund managers in forming and structuring GP and management company entities.
  • Manage the formation and structuring of investment funds and alternative investment vehicles.
  • Represent investors in side letter negotiations and advise on various investment opportunities with third-party managers.
  • Assist clients in managing fundraising processes and complying with ongoing regulatory requirements.
  • Provide guidance on day-to-day legal needs of clients, ensuring alignment with business objectives.
  • Draft fund-related agreements, including documentation of fund economics.
  • Advise on entity types from a tax perspective and fundamental Federal securities laws (e.g., the ’33 Act, the ’34 Act, Investment Company Act, and Investment Advisers Act) relevant to private fund managers.

Requirements

  • Minimum of 4 to 6 years of experience in a large law firm setting.
  • Some experience with fund formation and investment adviser work.
  • Ability to handle multiple tasks and work effectively in a fast-paced environment.
  • Strong academic history with excellent written and verbal communication skills.
  • Highly detail-oriented with basic knowledge of tax implications for different entity types.
  • Understanding or willingness to learn fund economics and ability to draft related language in agreements.

Education

  • Juris Doctor (JD) degree from an accredited law school.

Certifications

  • Admission to practice law in either Florida or Illinois or eligibility for admission.

Skills
