Lateral Associate Attorney

Job Overview:
A prominent law firm is seeking a lateral associate with 3 to 6 years of substantial experience in employment matters related to corporate transactions. This position is based in the New York office and focuses on the employment aspects of various transactions involving private equity clients and strategic investors.

Location:

Duties:

• Work on employment aspects of transactions for private equity clients and strategic investors.
• Draft and negotiate employment agreements, offer letters, separation agreements, and restrictive covenant agreements.
• Conduct legal research to ensure compliance with applicable state law.
• Advise clients on structuring transactions, market practices, and legal considerations regarding wage and hour, discrimination, performance, discipline, leave of absence, and disability.
• Collaborate with senior attorneys on due diligence calls, negotiate transaction documents, and analyze pre-litigation disputes and litigation matters.
• Prepare and finalize drafts of court and agency filings and responses.

Requirements:

• Minimum of 3 years of experience in employment law, particularly in private equity or M&A contexts.
• Proven experience in drafting and negotiating employment-related agreements.
• Strong analytical skills and attention to detail.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Admission to practice in the state of New York or eligibility to obtain admission promptly.

Skills:

• Excellent interpersonal and client management skills.
• Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
• Strong legal judgment and application of legal principles to various scenarios.
