A law firm in Portland is seeking an Associate Attorney with 3 to 7 years of business transactional experience. The ideal candidate should have strong academic credentials, be detail-oriented, client-focused, and capable of producing outstanding work product. Experience in M&A, equity financings, and private securities offering is a plus. The candidate must be a member of or eligible to waive into the State Bar of Oregon.

 

Duties:

  • Assist in the drafting and negotiation of business contracts, agreements, and other legal documents.
  • Conduct legal research and analysis on various business transactional matters.
  • Participate in due diligence reviews for mergers and acquisitions.
  • Provide legal advice and guidance to clients on business transactions and corporate governance matters.
  • Collaborate with partners and senior attorneys on complex business transactions.
  • Assist with the preparation of corporate documents, including formation, dissolution, and restructuring.
  • Review and analyze corporate governance documents and policies.
  • Handle administrative tasks related to client matters, including file management and document organization.
  • Attend meetings and conference calls with clients and other parties as necessary.
  • Maintain regular communication with clients to provide updates and address concerns.

 

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • 3 to 7 years of business transactional experience.
  • Strong academic credentials.
  • Member of or eligible to waive into the State Bar of Oregon.
  • Detail-oriented with excellent organizational skills.
  • Client-focused with strong communication and interpersonal skills.
  • Ability to work independently and as part of a team.
  • Capable of producing high-quality work product under tight deadlines.

 

Education:

Juris Doctor (JD) degree from an accredited law school.

 

Certifications:

Member of or eligible to waive into the State Bar of Oregon.
