Job Overview

A prominent law firm based in Denver, CO is seeking a seasoned legal professional to join its expanding private investment funds group as Of Counsel. The role involves high-level legal counsel on fund structuring, investment strategies, and cross-border transactions for sophisticated institutional clients. This position offers a dynamic and collaborative environment where strategic thinking, client advisory, and innovative legal solutions are central to the practice.

Duties

  • Guide the structuring, formation, and operations of private investment entities, including venture capital, private equity, credit funds, fund of funds, and real estate funds

  • Advise clients on co-investment strategies, secondary market transactions, continuation vehicles, and GP stakes

  • Draft, review, and negotiate fund documentation and associated agreements

  • Engage directly with general partners, limited partners, and fund administrators

  • Provide support on regulatory compliance matters related to investment management

  • Collaborate across practice groups on tax, regulatory, and cross-border issues impacting fund structuring

  • Mentor junior team members and contribute to professional development within the group

  • Participate in business development and client relationship initiatives

Requirements

  • Minimum of 7 years of hands-on experience advising on private fund formation and related transactional work

  • Demonstrated expertise in handling co-investments, secondaries, and other alternative investment vehicles

  • Clear, concise communicator—both in writing and in person

  • Strong attention to detail and organizational skills

  • Proven leadership ability and team-oriented mindset

  • Licensed to practice in Colorado or eligible for admission through reciprocity

Education

  • Juris Doctor (JD) degree from an accredited law school

Certifications

  • Active Bar membership in Colorado or the ability to qualify for admission via waiver

Skills

  • Advanced knowledge of fund structuring principles and relevant regulatory frameworks

  • Strong negotiation and drafting capabilities
