Job Overview:

A law firm based in New York City, NY, is seeking a dedicated Junior Energy Transactions Associate Attorney with 2-3 years of experience to join their team. The ideal candidate will have strong interpersonal and communication skills, with a solid background in financing and/or private M&A transactions. Experience in project and energy financing and/or energy and infrastructure-related M&A transactions is preferred, along with expertise in tax equity and/or IRA credits.

Key Duties and Responsibilities:

  • Assist senior attorneys with structuring and negotiating energy transactions, including financing and M&A deals.
  • Conduct legal research and analysis related to energy projects, financing, and infrastructure.
  • Draft and review transaction documents, including term sheets, purchase agreements, and financing agreements.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate transaction processes.
  • Provide legal advice on energy project development, including regulatory and compliance matters.
  • Participate in client meetings and presentations, offering insights and recommendations.
  • Manage and track transaction progress, ensuring deadlines are met and deliverables are completed.

Requirements:

  • 2-3 years of experience in energy transactions, project finance, or M&A.
  • Strong interpersonal and communication skills.
  • Proven experience with financing and/or private M&A transactions.
  • Preferred experience in project and energy financing and/or energy and infrastructure-related M&A transactions.
  • Knowledge of tax equity and/or IRA credits is a plus.
  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York, District of Columbia Bar, or Texas Bar, active and in good standing.
