Job Overview:

Duties:

  • Assist in structuring, negotiating, and executing private company mergers, acquisitions, and divestitures

  • Draft and revise investment agreements, shareholder arrangements, and other corporate documentation

  • Coordinate and lead due diligence efforts across business sectors

  • Advise clients on entity formation, capitalization structures, and operational contracts

  • Liaise with internal teams and external professionals to facilitate deal flow

  • Support emerging growth companies and private equity clients through full lifecycle engagements

  • Provide strategic input on cross-border or multijurisdictional transactions as needed

Requirements:

  • 2-8 years of relevant legal practice experience in private equity, M&A, or corporate transactional matters

  • Significant exposure to private placement deals, joint ventures, and general corporate governance

  • Ability to manage multiple projects with precision and speed

  • Adept at both independent work and collaborative team involvement

  • Demonstrated track record in a law firm or equivalent high-caliber environment

Education:

  • Juris Doctor (J.D.) from an accredited law school

Certifications:

  • Licensed and in good standing with at least one U.S. state bar

  • Eligibility for admission to the Texas Bar if not already licensed

Skills:

  • Strong command of contract drafting and review principles

  • Detail-oriented with excellent analytical and issue-spotting capabilities
