A law firm in Charlotte is seeking a Transactional Lawyer to join their team. The ideal candidate will have 2-6 years of transactional experience, preferably in finance or corporate transactions. This role offers a unique opportunity to work across the capital structure, representing lenders in lending transactions, advising alternative investment vehicles on debt and equity investments, and assisting private equity fund investors with control and growth equity investments. Strong interpersonal skills and excellent academic credentials are required.

Job Duties:

  • Represent lenders in lending transactions, including drafting and negotiating loan agreements, security documents, and related financing agreements.
  • Advise alternative investment vehicles on debt and equity investments, including structuring, due diligence, and negotiation of investment agreements.
  • Assist private equity fund investors with control and growth equity investments in portfolio companies.
  • Counsel portfolio companies in their acquisition, sell-side, and financing activities.
  • Provide strategic legal advice and support to clients on transactional matters, including mergers and acquisitions, corporate restructurings, and joint ventures.
  • Conduct legal research, draft legal opinions, and provide guidance on regulatory and compliance issues related to transactions.
  • Collaborate with other attorneys, paralegals, and external advisors to deliver comprehensive legal services to clients.
  • Maintain client relationships and ensure high-quality service delivery.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in the North Carolina State Bar or ability to waive in promptly.
  • 2-6 years of transactional experience, with a focus on finance or corporate transactions preferred.
  • Strong understanding of financial and business principles related to lending, investments, and corporate finance.
  • Excellent academic credentials and a demonstrated record of success in previous roles.
  • Strong interpersonal skills with the ability to build rapport with clients and colleagues.
  • Ability to work independently and as part of a collaborative team.
  • Detail-oriented with strong organizational and time management skills.

Preferred Skills:

  • Experience in representing lenders, private equity funds, or alternative investment vehicles.
  • Familiarity with transactional documents and agreements, including loan agreements, investment agreements, and acquisition documents.
  • Knowledge of regulatory requirements and compliance issues relevant to transactional work.
  • Previous experience in mergers and acquisitions, corporate finance, or securities law is a plus.

Certifications:

  • Active membership in the North Carolina State Bar or ability to waive in promptly.
