Job Overview:
A well-established law firm is seeking a highly motivated Senior Associate or Counsel with 7+ years of experience in Technology Transactions (IT) to join a dynamic national practice group. The ideal candidate will have a strong background in intellectual property (IP) and commercial transactions for technology companies. This role involves structuring, drafting, and negotiating various IP and commercial agreements, as well as advising on IP aspects of multidisciplinary transactions such as mergers, acquisitions, and public offerings. This is an excellent opportunity for individuals passionate about working with technology companies at all stages of their growth.

Location:

  • Palo Alto, CA

Duties:

  • Structure, draft, and negotiate a variety of intellectual property and commercial transactions including:
    • Licensing agreements
    • Service agreements
    • Development agreements
    • Distribution agreements
    • Partnering agreements
  • Work on IP aspects of mergers, acquisitions, public offerings, and financings
  • Advise technology companies of all stages of growth on IP and commercial transactions
  • Provide guidance to clients on multidisciplinary transactions
  • Collaborate with a national team and train junior associates
  • Help build and grow a dynamic national Technology Transactions practice group

Requirements:

  • 7+ years of experience in intellectual property and commercial transactions
  • Demonstrated interest in technology companies and IP transactions
  • Ability to train associates and work effectively as part of a national team
  • Strong communication, negotiation, and interpersonal skills
  • Entrepreneurial mindset with a focus on building and growing a national practice
  • Technical or science background preferred but not required
  • Experience with IP and commercial transactions is essential

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the State Bar in the jurisdiction of employment

Skills:

  • Strong experience with intellectual property transactions, particularly in technology companies
  • Excellent drafting, negotiation, and communication skills
  • Ability to manage complex transactions and collaborate with a national team
  • Strong interpersonal skills for working with clients and associates
