Corporate Capital Markets Associate

A law firm seeks an experienced Corporate Capital Markets Associate to join its corporate and securities practice group in New York. This is an exceptional opportunity for a motivated associate with 1-3 years of experience to work closely with seasoned professionals on sophisticated corporate matters, including public and private financing, SEC filings, and corporate governance. Duties:

• Assist clients with '33 and '34 Act compliance and related corporate matters.
• Provide support in capital markets transactions, including IPOs, follow-on offerings, and private placements.
• Manage ongoing SEC reporting and filing obligations for clients.
• Advise on corporate governance issues, ensuring compliance with applicable laws and regulations.
• Support clients through exchange listing matters and regulatory filings.
• Collaborate with senior attorneys to craft strategic solutions and draft legal documents.
• Maintain day-to-day client relationships, managing communication and expectations.
• Work under tight deadlines, handling multiple projects while ensuring high-quality work and attention to detail.

Requirements:

• 1-3 years of experience in corporate and securities law, particularly in capital markets and SEC filings.
• Demonstrated ability to manage client relationships and interact with senior legal staff.
• Strong organizational skills with a keen eye for detail.
• Ability to thrive in a fast-paced environment, managing multiple projects and deadlines effectively.
• Admitted to the New York State Bar.

Education:

• Juris Doctor (JD) from an accredited law school.

Certifications:

• Active membership with the New York State Bar.
