Job Overview:

A law firm seeks an experienced and driven ECVC (Emerging Companies and Venture Capital) Associate Attorney to join its Salt Lake City, UT office. The ideal candidate will have 5-7 years of relevant experience working with emerging companies, venture capital firms, and other stakeholders in this dynamic and fast-paced legal field. Key Responsibilities:

  • Provide legal counsel to emerging companies, venture capital firms, and other stakeholders.
  • Draft, review, and negotiate venture capital financing agreements, including equity financings, convertible notes, and SAFEs.
  • Advise clients on corporate governance, including board structure, shareholder agreements, and fiduciary duties.
  • Conduct due diligence for venture capital investments and mergers and acquisitions (M&A).
  • Guide clients through forming entities, including C-corporations, S-corporations, and LLCs.
  • Counsel clients on intellectual property matters, including trademark registration and IP protection strategies.
  • Advice on employment law matters relevant to startups, including employee equity plans, offer letters, and terminations.
  • Assist with preparing and filing necessary securities law filings with state and federal agencies.
  • Collaborate with other practice groups within the firm to provide comprehensive legal services.
  • Stay current with industry trends and venture capital and startup law developments.

Requirements:

  • 5-7 years of experience in ECVC law, focusing on representing emerging companies and venture capital firms.
  • Extensive experience in drafting and negotiating venture capital financing agreements.
  • Strong understanding of corporate governance principles and securities law.
  • Experience conducting legal due diligence in venture capital and M&A transactions.
  • Proven ability to manage multiple clients and projects simultaneously in a fast-paced environment.
  • Excellent legal research, writing, and communication skills.
  • Strong interpersonal skills and the ability to work collaboratively within a team.
  • Detail-oriented with a commitment to providing high-quality legal services.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Member in good standing with the state bar of Utah (or willingness to become licensed in Utah).

Certifications:

  • Active Utah State Bar license or eligibility and willingness to obtain Utah Bar licensure.
  • Continuing Legal Education (CLE) compliance as the Utah State Bar requires.
