Job Overview: A law firm in Houston, TX, is seeking a dedicated Energy Transactional Attorney to join their team. The ideal candidate will have extensive experience negotiating and advising on acquisitions, dispositions, and joint ventures within the energy sector, strongly emphasizing upstream oil and gas assets. They will provide crucial legal guidance to clients involved in complex energy transactions, ensuring compliance with relevant laws and mitigating legal risks effectively.

Duties:

  • Represent clients in acquisitions, dispositions, joint ventures, mergers, reorganizations, spin-offs, or other change of control deals in the energy industry.
  • Assist in all phases and sizes of acquisitions and divestitures, conducting due diligence reviews and providing comprehensive legal assessments.
  • Draft, negotiate, and advise on a variety of oil and gas agreements, including exploration, participation, joint development, pooling, unitization, farm-out, farm-in, operating, and transportation agreements.
  • Stay updated on federal, state, and local laws and regulations impacting energy transactions.
  • Collaborate with team members on oil and gas disputes, including contract construction, consent rights, breach of representations, warranties, and indemnification claims.
  • Meet quarterly billable hour requirements and actively pursue continuous learning opportunities.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active Bar license in good standing with at least 3 years of experience negotiating and advising on energy industry transactions.
  • Strong commitment to ethical practice and client confidentiality.
  • Excellent interpersonal communication skills and ability to work collaboratively.
  • Exceptional organizational skills with a proven ability to prioritize, analyze, and attend to detail.
  • Passion for professional development and embracing a growth mindset.

Preferred Skills:

  • Experience in developing, acquiring, and selling domestic oil and gas assets, particularly upstream.
  • Familiarity with offshore, international, downstream, or midstream oil and gas transactions.
