A law firm in Raleigh, NC is seeking a skilled Mid-Level M&A Associate Attorney with 3-5 years of experience in mergers and acquisitions. The ideal candidate will have a strong background in drafting and negotiating transaction agreements and possess the leadership capabilities necessary to manage project teams effectively.

Duties:

  • Draft and negotiate primary transaction documents, including purchase agreements, merger agreements, and ancillary documents.
  • Conduct due diligence investigations and manage due diligence teams.
  • Provide strategic advice and counsel to clients on M&A transactions, corporate governance matters, and regulatory compliance issues.
  • Collaborate with partners and senior associates to manage transactions from inception to closing.
  • Assist in structuring transactions and preparing transaction-related documents.
  • Research and analyze complex legal issues related to M&A transactions.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the North Carolina State Bar or eligibility for admission via reciprocity.
  • 3-5 years of solid experience in mergers and acquisitions at a reputable law firm.
  • Strong understanding of corporate law, securities regulations, and contract law.
  • Excellent drafting and negotiation skills with a keen attention to detail.
  • Ability to work independently and as part of a team in a fast-paced environment.
  • Strong organizational skills and the ability to manage multiple priorities effectively.

Preferred Skills:

  • Experience working with start-up companies or venture capital transactions.
  • Familiarity with private equity investments and corporate finance.
  • Experience handling cross-border transactions and international clients.
