Duties

• Handle complex mergers and acquisitions, particularly within the private equity space.
• Collaborate with national sponsors on high-profile deals and transactions.
• Lead and manage M&A transactions from initiation through closing.
• Provide strategic legal advice and solutions to clients, ensuring their objectives are met.
• Draft, review, and negotiate various transaction documents, including purchase agreements, shareholder agreements, and related contracts.
• Conduct due diligence and work closely with other legal and business teams to address regulatory and compliance issues.
• Develop and maintain client relationships, serving as a trusted business and legal advisor.

Requirements

• Minimum of 7 years of experience in mergers and acquisitions, with a focus on private equity transactions.
• Previous experience working in private practice, preferably with a large firm or specialized M&A practice.
• Strong legal drafting, negotiation, and analytical skills.
• Demonstrated ability to manage complex transactions and lead teams.
• Excellent interpersonal and client development skills.

Education

• Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

• Active license to practice law in at least one U.S. jurisdiction, with eligibility for prompt admission to practice in Minnesota, Iowa, or Wisconsin.
