Job Overview:
A prestigious law firm is seeking a mid-level Corporate M&A Associate to join its Corporate Practice in Miami. This is an excellent opportunity for an attorney with a strong background in public and private mergers and acquisitions (M&A), including private equity transactions. The ideal candidate will have significant experience in M&A transactions, proficiency in drafting complex documents, and the ability to manage large-scale deals from inception to closing.

Location:

  • Miami, FL

Duties:

  • Manage and lead M&A transactions, from inception through to closing.
  • Draft and negotiate acquisition agreements and other complex M&A documentation.
  • Lead due diligence teams and manage client relationships throughout the transaction process.
  • Advise clients on corporate governance and general corporate matters.
  • Work closely with cross-functional teams to deliver successful outcomes for clients.
  • Mentor and train junior associates within the M&A practice.

Requirements:

  • Minimum of four years of significant experience in corporate transactions, with a focus on public and private M&A, including private equity.
  • Proven ability to draft and review M&A documentation, including acquisition agreements.
  • Strong interpersonal skills and maturity, with the ability to handle significant responsibilities in a fast-paced environment.
  • Experience in leading M&A transactions from start to finish.
  • Ability to manage and guide junior associates.
  • Must be admitted to the Florida Bar or eligible for admission to the Florida Bar.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Admission to the Florida Bar or eligibility for admission to the Florida Bar.

Skills:

  • Strong academic credentials and exceptional writing skills.
  • Proficiency in managing and drafting documents related to M&A transactions.
  • General corporate and corporate governance experience.
  • Excellent teamwork and collaboration skills.
  • Ability to work independently and manage a challenging workload.
