A law firm in New York City is seeking a skilled Corporate (Fund Formation) Associate Attorney to join their team. The ideal candidate will have 4-6 years of experience in fund formation, with a strong background in working with private equity sponsors and investors. This role involves structuring, forming, and operating private investment funds, as well as addressing legal, regulatory, and compliance matters for fund sponsors.

Duties and Responsibilities:

  • Collaborate with private equity sponsors and investors on the structuring, formation, and operation of private investment funds.
  • Advise on legal, regulatory, and compliance issues affecting fund sponsors.
  • Draft and review fund documentation, including limited partnership agreements, subscription agreements, and offering memoranda.
  • Conduct due diligence and manage closings for fund formation transactions.
  • Provide strategic advice to clients on fund-related matters.
  • Maintain relationships with high-priority clients and investors, demonstrating a high level of professionalism and client service.

Requirements:

  • Juris Doctor (J.D.) or Master of Laws (LL.M.) from an ABA accredited law school.
  • Admission to the New York State Bar.
  • 4-6 years of experience in fund formation at a reputable law firm.
  • Expertise in structuring and forming private investment funds.
  • Excellent written and verbal communication skills, with the ability to interact effectively with partners, clients, and investors.
  • Strong organizational skills with the ability to manage multiple assignments and prioritize effectively.
  • Detail-oriented and capable of maintaining accuracy under pressure.
  • Ability to work independently as well as collaboratively in team settings.

Preferred Qualifications:

  • Experience with international fund structures and cross-border transactions.
  • Familiarity with SEC regulations and other relevant regulatory frameworks.
  • Prior experience advising private equity sponsors and institutional investors.
