A law firm seeks a highly skilled and experienced Corporate M&A Partner to join its growing team. This remote position is ideal for an attorney with a strong background in handling mergers and acquisitions (M&A) transactions, who has honed their expertise in a top-tier legal environment. The ideal candidate will be a proactive leader with significant experience managing high-value corporate transactions and advising on governance matters, with a demonstrated ability to manage complex deals from start to finish.

Duties:

  • Lead M&A transactions from inception through closing, ensuring successful execution and client satisfaction.
  • Manage and coordinate due diligence teams to assess transaction risks and opportunities.
  • Guide on corporate governance matters, including entity formation, joint ventures, and licensing.
  • Draft and negotiate key transaction documents, such as stock purchase agreements, asset purchase agreements, and merger agreements.
  • Advise on complex issues related to credit agreements, redemption agreements, intellectual property licenses, and secondment agreements.
  • Cultivate and maintain strong relationships with clients, supporting business development efforts.
  • Collaborate with cross-functional teams to ensure timely and effective execution of corporate transactions.

Requirements:

  • A minimum of 8 years of experience in M&A and general corporate law.
  • Proven ability to lead complex corporate transactions and manage high-level deals.
  • A portable client base generating at least $250,000 in annual revenue, or a demonstrated business development plan with clear growth potential.
  • Expertise in corporate governance and extensive experience drafting and negotiating key M&A documents.
  • Strong leadership skills, with the ability to manage teams and client relationships effectively.

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Must be licensed to practice law in at least one state (preferably in Washington, DC).

Skills:

  • Deep understanding of M&A law and corporate governance.
  • Excellent communication and negotiation skills.
  • Ability to lead transactions and manage multi-disciplinary teams.
  • Strong client relationship-building skills.
  • Exceptional attention to detail and organizational ability.
  • Ability to work independently and manage time effectively in a remote environment.
