A law firm seeks to enhance its Corporate, Securities, and M&A Practice Group by bringing on a highly skilled Securities Attorney with a minimum of 8 years of experience. The ideal candidate will have extensive knowledge of private securities offerings, fund operations, and joint ventures, particularly with "506(b)" offerings. This role requires a blend of strong academic credentials and significant prior experience, including serving as lead counsel on various private placement transactions and sophisticated joint ventures.

Duties

  • Lead and manage private securities offerings, ensuring compliance with applicable laws and regulations.
  • Provide expert legal counsel on fund formations and operations, including private funds and joint ventures.
  • Draft, review, and negotiate legal documentation related to private placement offerings.
  • Collaborate with clients and internal teams to develop effective strategies for complex transactions.
  • Maintain thorough knowledge of relevant securities laws and regulations to provide informed guidance.
  • Demonstrate strong organizational skills to manage multiple projects and deadlines effectively.

Requirements

  • A minimum of 8 years of relevant experience in private securities offerings, fund work, and joint ventures.
  • Proven experience serving as lead counsel on private placement offerings and sophisticated joint ventures.
  • Strong academic background and professional credentials.
  • A record of good judgment and the ability to navigate complex legal issues.
  • Excellent time management and organizational skills to handle a diverse workload.

Education

  • Juris Doctor (JD) from an accredited law school.

Certifications

  • Active license to practice law in the relevant jurisdiction.
