Job Overview:
A prestigious law firm is seeking a Senior Associate or Counsel with 7+ years of experience in Technology Transactions (IT) to join its growing practice. The position involves working on intellectual property (IP) and commercial transactions for technology companies. The ideal candidate will be involved in structuring, drafting, and negotiating a wide range of agreements, as well as working on the IP aspects of mergers, acquisitions, public offerings, and other multidisciplinary transactions. This is an excellent opportunity for an entrepreneurial individual with a strong interest in technology companies and the chance to help build and grow an established, dynamic national practice group.

Location:

  • Seattle, WA

Duties:

  • Structure, draft, and negotiate a variety of intellectual property and commercial transactions, including:
    • Licensing agreements
    • Service agreements
    • Development agreements
    • Distribution agreements
    • Partnering agreements
  • Advise on the IP aspects of mergers, acquisitions, public offerings, and financings
  • Collaborate with cross-functional teams and clients in the technology sector, including start-ups and large companies
  • Build and contribute to the development of the national Technology Transactions practice group
  • Mentor junior associates and support their professional development
  • Handle complex transactions independently, while also working as part of a national team

Requirements:

  • 7+ years of experience in technology transactions, with a focus on IP and commercial agreements
  • Strong interest in working with technology companies across all stages of growth
  • Experience in IP aspects of mergers, acquisitions, public offerings, and other transactions
  • Ability to work as part of a national team and mentor junior associates
  • Technical or science background is beneficial but not required
  • Strong academic credentials, excellent drafting, negotiation, and communication skills
  • Ability to handle complex transactions independently and collaboratively

Education:

  • Juris Doctor (JD) from an accredited law school

Certifications:

  • Admission to the State Bar in the jurisdiction of employment

Skills:

  • Expertise in intellectual property transactions and commercial agreements
  • Strong drafting, negotiation, and client communication skills
  • Ability to work collaboratively within a national team
  • Strong problem-solving and analytical abilities
  • Excellent interpersonal skills
