A law firm in New York City, NY is seeking a Project Finance Associate Attorney with robust experience in US project development and finance, specifically focused on distributed and utility-scale renewable energy projects. The successful candidate will have expertise in managing principal financing documentation and key commercial project agreements, and will be adept at handling complex transactions in the renewable energy sector.

Duties and Responsibilities:

  • Manage and negotiate principal financing documentation for project financings, including purchase agreements, partnership agreements, credit agreements, security and pledge agreements, and depositary agreements.
  • Oversee and review key commercial project documentation, such as development agreements, Power Purchase Agreements (PPAs), Engineering, Procurement, and Construction (EPC) agreements, site control agreements, and interconnection agreements.
  • Conduct comprehensive due diligence related to project financing and development.
  • Provide legal support and advice on distributed and utility-scale renewable energy projects.
  • Collaborate with clients, stakeholders, and internal teams to ensure successful project execution and compliance with legal requirements.
  • Draft, review, and revise legal documents to ensure accuracy and adherence to applicable laws and regulations.
  • Address and resolve complex legal issues that arise during the project lifecycle.
  • Maintain up-to-date knowledge of industry trends and developments in renewable energy finance.

Requirements:

  • JD or LLM from an ABA-accredited law school.
  • Admission to or eligibility for admission in Massachusetts, New York, Washington, DC, or California.
  • 4+ years of experience in project finance with a focus on renewable energy projects.
  • Extensive experience with principal financing documentation and commercial project documentation.
  • Proven ability to manage complex transactions and provide high-quality client service.

Education:

  • JD or LLM from an ABA-accredited law school.

Certifications:

  • Admission to or eligibility for admission in Massachusetts, New York, Washington, DC, or California.

  • Excellent written and verbal communication skills.
