The ideal candidate will possess 4-6 years of experience in corporate finance, with expertise in working with financial institutions and borrowers on commercial finance transactions. This role involves drafting loan, security, and intercreditor documents, advising on covenant compliance, and leading due diligence teams. The successful candidate will have excellent writing skills, outstanding academic credentials, and the ability to manage multiple assignments with minimal supervision.

Duties and Responsibilities

  • Draft, negotiate, and review loan, security, intercreditor, and related documents for corporate finance transactions.
  • Provide legal guidance on covenant compliance, ensuring adherence to financial agreements.
  • Lead and manage due diligence teams in reviewing and analyzing financial documents.
  • Oversee and coordinate the efforts of specialists involved in transaction processes.
  • Collaborate with clients, financial institutions, and other stakeholders to facilitate successful transactions.
  • Maintain high standards of document accuracy and compliance with regulatory requirements.
  • Manage multiple projects efficiently and deliver high-quality results with minimal supervision.
  • Address and resolve complex legal issues related to commercial finance and real estate financings.

Requirements

  • 4-6 years of experience in corporate finance, with a focus on commercial finance transactions, including loan originations and real estate financings.
  • Proven experience drafting loan, security, and intercreditor documents and advising on covenant compliance.
  • Excellent academic credentials, including a JD from an accredited law school.
  • Superior writing skills and meticulous attention to detail.
  • Ability to manage multiple assignments simultaneously and deliver high-quality outcomes with minimal supervision.
  • Strong analytical and problem-solving skills.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Bachelor’s degree in Finance, Accounting, or a related field is preferred.

Certifications

  • Admission to the Indiana Bar (or eligibility to obtain admission).
  • Certification or specialization in finance or commercial transactions is preferred but not required.
