Duties

  • Advise on the legal and structural aspects of executive compensation and benefits plans

  • Draft, review, and negotiate agreements related to bonuses, deferred compensation, and equity-based incentives

  • Provide support on compensation and benefit issues in mergers, acquisitions, and other corporate events

  • Ensure compliance with federal and state regulations including ERISA and the Internal Revenue Code

  • Deliver practical counsel to corporate clients on day-to-day benefits administration

  • Collaborate with internal legal teams and external stakeholders

  • Conduct due diligence and risk assessments related to benefit and compensation structures

Requirements

  • Minimum of 3 years of experience in executive compensation and employee benefits law

  • Strong exposure to compensation and benefits issues in the context of business transactions

  • Ability to interpret and advise on complex tax and regulatory matters

  • Demonstrated capacity for providing pragmatic, business-oriented legal advice

  • Excellent communication skills, both written and verbal

  • Preference for candidates with experience handling client-facing responsibilities

Education

  • Juris Doctor (J.D.) from an accredited law school

Certifications

  • Active license to practice law

  • Admission to the North Carolina State Bar preferred
