The position involves representing leading private equity firms and providing comprehensive legal services to private equity funds and other pooled investment vehicles.

Job Responsibilities:

  • Advise private equity firms and fund managers on the formation, structuring, and ongoing operations of private equity funds, fund-of-funds, and other pooled investment vehicles.
  • Assist in the structuring and negotiation of fund terms, including partnership agreements, subscription agreements, and private placement memoranda.
  • Provide legal counsel on fund formation, including regulatory compliance and registration under relevant laws such as Investment Advisers Act, Securities Act, and Dodd-Frank.
  • Draft, review, and negotiate fund documentation, including investment management agreements, limited partnership agreements, and other related documents.
  • Advise clients on the governance and compliance aspects of managing private equity funds, including issues related to investor relations, tax considerations, and regulatory filings.
  • Work closely with institutional investors in negotiating the terms of their investments in private equity funds.
  • Conduct due diligence on investment opportunities for private equity funds and advise on legal risks associated with portfolio investments.
  • Collaborate with other practice areas within the firm, such as tax, securities, and M&A, to provide clients with well-rounded, strategic legal counsel.
  • Monitor and advise on changes in laws and regulations that impact the private equity and asset management industry, ensuring that clients remain compliant with evolving requirements.

Requirements:

  • Minimum of 3 years of experience in fund formation, with a focus on private equity funds and/or fund-of-funds work at a peer firm.
  • Strong knowledge of the legal and regulatory framework governing private equity fund formation, including experience with the Investment Advisers Act, Securities Act, Dodd-Frank, and other relevant legislation.
  • Excellent drafting and negotiation skills, particularly in relation to fund documentation and partnership agreements.
  • Strong organizational skills with the ability to manage multiple projects and deadlines simultaneously.
  • Proven ability to build and maintain relationships with private equity clients and institutional investors.
  • Effective communication skills, both written and verbal, with the ability to present complex legal concepts clearly to clients.
  • Demonstrated proficiency in time management and project management skills, ensuring the timely delivery of services to clients.
  • Ability to work both independently and collaboratively within a fast-paced environment.

Education:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar or eligibility to obtain admission.

Certifications (Preferred):

  • Certified Private Equity Professional (CPEP) or other relevant certifications in investment management or fund formation are advantageous but not required.
