A law firm in Saint Louis Park, MN, seeks a skilled Transactional Matters Associate Attorney to provide comprehensive legal support to non-profit clients. This role involves advising on a wide range of legal matters, from incorporation through dissolution and requires strong leadership to manage a team of support professionals.

Duties:

  • Provide comprehensive legal support to new and existing non-profit clients, managing legal matters from incorporation through dissolution.
  • Advise and assist non-profit organizations on governance issues, tax-exempt status, and other non-profit business and tax-related matters.
  • Act as a key resource for non-profit organizations, their boards of directors, and key staff, providing expert guidance and support.
  • Draft, review, and negotiate various legal documents, including contracts, policies, and procedures, tailored to each non-profit organization's specific needs.
  • Conduct thorough legal research to provide detailed legal opinions and advice on non-profit business and tax law matters.
  • Lead and manage a team of support professionals, ensuring the delivery of high-quality legal services.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Minnesota State Bar.
  • 3+ years of experience in non-profit business and tax law; 5-7 years of overall attorney experience preferred.
  • Mastery of state and federal non-profit business and tax laws and regulations.
  • Strong research and analytical skills.
  • Proven leadership abilities with experience in team management.
  • Knowledge of employment laws and regulations is a plus.
  • Extensive knowledge of non-profit law.
