Job Overview:
A prestigious law firm is looking to add a skilled mid-level Corporate Associate Attorney to its Capital Markets and Public Companies Group. The ideal candidate will have a strong background in advising public companies, with a focus on SEC compliance, governance, and capital market transactions. The successful candidate will have the opportunity to grow in a fast-paced, collaborative atmosphere, contributing to complex matters involving IPOs, SPACs, and other capital market offerings.

Duties:

  • Advise public companies on SEC compliance, disclosure requirements, corporate governance, and exchange matters.
  • Represent issuers or investment banks in a variety of capital market transactions, including IPOs, SPACs, direct listings, and follow-on offerings.
  • Provide legal guidance to clients in the technology and life sciences sectors, leveraging expertise in corporate law and regulatory frameworks.
  • Assist with securities filings, shareholder communications, and corporate restructuring activities.
  • Work closely with senior attorneys, managing complex matters and collaborating with multidisciplinary teams.
  • Communicate effectively with clients and internal teams, ensuring timely and thorough legal support.
  • Stay current with changes in securities law and regulations, offering proactive legal advice.

Requirements:

  • Minimum of 3 years of experience in corporate law, particularly with public companies or investment banks.
  • Experience in SEC compliance, corporate governance, and capital market transactions.
  • Strong background in advising on IPOs, SPACs, direct listings, and follow-on offerings.
  • Ability to work with clients in the technology and life sciences sectors is preferred.
  • Must be licensed and in good standing with the California State Bar.
  • Excellent communication skills, both written and verbal.
  • Strong problem-solving abilities and the ability to work independently.
  • High level of professionalism and ability to handle confidential information.

Education:

  • Juris Doctor (JD) degree from an accredited law school.

Certifications:

  • Active membership in the California State Bar (required).
