Job Overview: A law firm seeks an experienced Investment Funds, Registered Funds, and BDC Associate Attorney to join its dynamic team in New York City. The ideal candidate will have 3-6 years of investment funds practice experience, focusing on registered funds and business development companies (BDCs).

Duties:

  • Advise on the formation, structuring, and operational matters of open-end funds (including ETFs) and closed-end funds across various asset classes.
  • Provide counsel on business development company (BDC) matters, including ongoing operational and reporting obligations for private, non-traded, and publicly traded BDCs.
  • Handle underwriter representations and capital markets transactions related to investment funds and BDCs.
  • Assist in governance-related compliance and regulatory issues about registered funds and BDCs.
  • Conducted legal research, drafted memoranda, and provided strategic advice to clients on complex legal issues.

Requirements:

  • 3-6 years of experience as an associate in an investment funds practice at a reputable global law firm.
  • Proven experience advising on investment funds' formation, structuring, and operational aspects, including ETFs and closed-end funds.
  • Specific expertise in advising on business development company (BDC) matters, including operational and reporting requirements.
  • Experience with underwriter representations and capital markets transactions related to investment funds and BDCs.
  • Familiarity with governance-related compliance and regulatory matters concerning registered funds and BDCs.

Education and Certifications:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the Bar in New York or eligibility for prompt admission.
  • Additional certifications related to investment funds or securities law (preferred).

Skills:

  • Outstanding analytical abilities and problem-solving skills.
  • Excellent written and verbal communication skills.
  • Strong attention to detail and ability to manage multiple projects simultaneously.
  • Ability to work effectively independently and as part of a team in a fast-paced environment.
