Duties:

  • Advise public companies on securities regulation, compliance, and corporate governance matters.
  • Provide counsel on Exchange Act disclosure requirements and corporate governance standards.
  • Draft and review SEC filings, including annual reports, proxy statements, and other disclosure documents.
  • Assist clients with regulatory inquiries and internal governance processes.
  • Conduct legal research and provide strategic recommendations on securities law issues.
  • Collaborate with senior attorneys to develop and implement corporate governance strategies.
  • Support business development and client relationship management.

Requirements:

  • 3-5 years of experience in securities regulation and corporate governance matters.
  • Strong academic background and credentials.
  • Experience with advising public companies on disclosure requirements and governance practices.
  • Exceptional legal research, writing, and analytical skills.
  • Admission to the California State Bar or eligibility for admission.

Education:

  • J.D. from an accredited law school (Graduation years 2020–2022 preferred).

Certifications:

  • Admission to the California State Bar or eligibility for admission.

Skills:

  • Strong understanding of securities regulation, including the Securities Exchange Act.
  • Expertise in corporate governance practices and public company reporting.
  • Excellent written and verbal communication skills.
  • Attention to detail and the ability to analyze complex regulatory issues.
  • Ability to manage multiple tasks and deadlines in a fast-paced environment.
