Job Title: Fund Formation Associate Attorney

Job Overview: A prestigious law firm in Baltimore, MD, is seeking a dedicated Fund Formation Associate Attorney to join its Corporate and Private Equity team. This position will focus on providing strategic legal counsel to clients in the areas of fund formation, capital raising, and ongoing management of various investment funds. The ideal candidate will possess strong expertise in private equity, real estate, and other alternative investment fund structures.

Duties:

  • Assist in the formation, structuring, and management of private equity, real estate, and other alternative investment funds.
  • Handle capital raising and compliance matters for clients across various fund strategies.
  • Draft, review, and negotiate limited partnership agreements and limited liability company agreements.
  • Work on capital-raising transactions, including joint ventures and equity investment structuring.
  • Prepare offering documents and ensure compliance with securities laws, including Regulation D.
  • Provide legal counsel to institutional investors on fund documents and related transactions.
  • Advise clients on registration, exemption, and compliance matters under the Advisers’ Act.

Requirements:

  • 3-4 years of experience in a large law firm focusing on fund formation and complex investment matters.
  • Experience working with private fund sponsors and institutional investors.
  • Strong drafting and negotiation skills, with primary drafting experience in fund-related agreements.
  • Solid understanding of market fund terms and regulatory requirements.
  • Proven ability to work independently with clients and manage transactions from inception to closing.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the State Bar, or ability to become admitted within a reasonable time.

Certifications:

  • Bar admission in Maryland or eligibility to waive in.

Skills:

  • Strong interpersonal and communication skills.
  • Ability to manage complex legal matters and work collaboratively with clients and colleagues.
  • Excellent drafting, negotiation, and research skills.
  • Knowledge of securities laws and regulatory frameworks governing private placements and fund managers.
  • Strong attention to detail and analytical skills.
