Duties and Responsibilities:

  • Advise clients on public company reporting obligations, including SEC regulations and compliance.
  • Counsel clients on public and private securities offerings, including equity and debt transactions.
  • Draft and review key legal documents such as offering memoranda, prospectuses, registration statements, and underwriting agreements.
  • Lead due diligence efforts, coordinating with specialists and managing the comprehensive review process for capital markets transactions.
  • Provide guidance on corporate governance matters, ensuring clients’ adherence to legal and regulatory requirements.
  • Monitor changes in securities laws and ensure client compliance with SEC and other regulatory agencies.
  • Collaborate with clients, legal teams, and external advisors to manage the execution of securities and capital markets transactions.
  • Manage multiple projects simultaneously with minimal supervision, ensuring timely and high-quality work.

Requirements:

  • 2-5 years of experience in corporate law, with a focus on securities law and capital markets transactions.
  • Expertise in public company reporting obligations, SEC compliance, and corporate governance requirements.
  • Experience advising on and drafting documentation for public and private offerings of debt and equity securities.
  • Proven ability to lead due diligence processes and manage the involvement of specialists in capital markets transactions.
  • Strong organizational skills with the ability to manage multiple transactions and deadlines.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Colorado State Bar, or eligibility for admission.

Skills and Qualifications:

  • In-depth knowledge of securities laws, public company reporting requirements, and capital markets transactions.
  • Strong legal drafting skills, with the ability to produce clear and concise legal documents related to securities offerings.
  • Exceptional written and verbal communication skills, with attention to detail in legal analysis and documentation.
