Job Overview

A nationally recognized law firm is seeking a Managing or Senior Associate to join its leading Technology and Venture Capital Fund Formation practice. This position offers the opportunity to work with a high-caliber client base of venture capital and growth equity fund managers across the innovation ecosystem. The role is ideal for an attorney with deep experience in fund formation and investment management who thrives in a fast-paced and collaborative legal environment.

Location

  • Irvine, CA 

Duties

  • Advise clients on all aspects of private investment fund formation, structuring, and operations

  • Represent venture capital and growth equity fund managers, from emerging sponsors to multi-billion-dollar AUM firms

  • Draft and negotiate limited partnership agreements, side letters, and related offering documents

  • Guide clients through regulatory compliance, including SEC and other applicable federal and state requirements

  • Collaborate with attorneys across practices supporting startups, investors, and fund sponsors

  • Manage fund-side engagements with strategic oversight and independent judgment

Requirements

  • 4–7 years of experience in private fund formation and investment management

  • Substantive experience advising venture capital and/or growth equity sponsors

  • Demonstrated ability to manage complex fund formation matters

  • Excellent academic credentials from a top-tier law school

  • Admission in good standing to the bar of the jurisdiction in which the attorney intends to practice

Education

  • Juris Doctor (J.D.) from an accredited U.S. law school

Certifications

  • Active bar membership in applicable U.S. state(s)

Skills

  • Strong legal drafting, negotiation, and analytical skills

  • Deep understanding of fund structures and applicable regulatory frameworks

  • Exceptional verbal and written communication abilities

  • Detail-oriented with strong organizational and time-management skills

  • Ability to work collaboratively within cross-functional legal teams
