Job Overview: A mid-level Associate with experience in drafting and negotiating commercial and project development agreements is sought to join a leading law firm’s Energy, Infrastructure, Project, and Asset Finance (EIPAF) practice group. The role involves complex, large-scale projects, requiring strong analytical and drafting skills, along with the ability to manage multiple tasks in high-pressure situations. Candidates should possess excellent communication skills and a proactive approach to problem-solving. Fluency in languages such as Spanish, relevant to projects in Latin America, would be an asset.

Location:

  • Houston, Texas

Duties:

  • Drafting and negotiating agreements including PPAs, VPPAs, LNG SPAs, JOAs, LLCAs, JVAs, terminalling agreements, asset management agreements, and more
  • Assisting with resolving or avoiding commercial disputes and administering ongoing projects
  • Conducting research and preparing memoranda, focusing on local, Federal, and international laws
  • Analyzing energy regulatory and operational practices
  • Drafting and negotiating performance securities, such as parent guarantees and letters of credit
  • Involvement in due diligence, including the preparation of legal opinions
  • Coordinating with local counsel in relevant jurisdictions
  • Working closely with internal subject matter experts and managing communication with clients
  • Providing assistance to senior lawyers on legal services to corporate clients
  • Managing and mentoring junior associates
  • Performing research and preparing pitch materials for business development
  • Participating in educational seminars and practice groups

Requirements:

  • 4+ years of relevant law firm or in-house experience
  • Transactional experience in project development agreements
  • Excellent academic credentials and strong intellectual curiosity
  • Demonstrated commercial and business awareness
  • Ability to manage multiple projects and prioritize deadlines under pressure
  • Strong time management and drafting skills
  • Proactive and resourceful approach with initiative
  • Ability to think creatively and see the big picture

Education:

  • Juris Doctor (JD) degree (LLM or foreign equivalent) from an accredited law school
  • Admitted to the Texas bar or ability to become admitted

Certifications:

  • Admitted to the Texas bar (or the ability to be admitted)
  • In good standing with the bar

Skills:

  • Outstanding communication and negotiation abilities
  • Strong professional presence with a client-service focus
  • Excellent drafting skills with a keen attention to detail
  • Strong judgment and the ability to exercise discretion
  • Fluent in English (fluency in Spanish a plus)
