Job Overview:
A prominent law firm is seeking a Capital Markets Associate to join its New York office. The ideal candidate will have 4-6 years of experience in handling sophisticated ECM and DCM transactions, including a strong cross-border component. This position covers the full range of equity and debt securities offerings, with a focus on both public and private transactions. The successful candidate will work closely with issuer, investor, and underwriter clients, contributing to the execution of complex transactions and corporate governance matters. Location:
New York City, NY

Duties:

  • Lead and manage the execution of equity and debt capital markets transactions, including public and private offerings.

  • Represent issuer, investor, and underwriter clients in a variety of ECM and DCM matters.

  • Advise clients on Exchange Act reporting and corporate governance compliance.

  • Draft and negotiate transaction documents, including registration statements, offering memoranda, and subscription agreements.

  • Collaborate with other team members to manage client relationships and provide strategic legal advice.

  • Contribute to the firm’s growing and successful practice by taking on leadership responsibilities and mentoring junior associates.

Requirements:

  • 4-6 years of experience in Capital Markets with a focus on ECM and DCM.

  • Experience with cross-border transactions is highly preferred.

  • Strong drafting and negotiation skills.

  • Ability to take on a leadership role in managing complex transactions.

  • Ability to work effectively in a collaborative team environment.

  • Excellent communication and interpersonal skills.

Education:

  • J.D. from an accredited law school.

Certifications:

  • Admitted to the bar in New York (or eligible to waive in).

Skills:

  • Strong technical and legal skills in Capital Markets law, including equity and debt securities offerings.

  • Experience with public and private securities transactions.

  • Knowledge of Exchange Act reporting requirements and corporate governance compliance.

  • Excellent client management and team collaboration skills.

  • Ability to handle complex and high-stakes legal matters with minimal supervision.
