Job Overview: A law firm is seeking a Mid-Level to Senior-Level Transactional Tax Associate Attorney to join their team in Houston, TX. This role involves significant responsibility from the outset, preparing tax analyses, drafting memos and opinions, reviewing contracts, and negotiating with opposing counsel. The attorney will be at the forefront of the energy transition, working on transactions that take advantage of tax incentives under the Inflation Reduction Act of 2022.

Key Responsibilities:

  • Negotiate and draft tax-related provisions for various transaction documents, including:
    • Partnership agreements
    • Purchase and sale agreements
    • Credit agreements
    • Related documentation
  • Review and draft tax-related provisions of construction documents, offtake agreements (e.g., power purchase agreements), and other project documents.
  • Draft memoranda and opinions on the qualification of projects for tax credits, structuring of investments, and related tax matters.
  • Coordinate internal and external resources for project development, financing, and other transactions.
  • Prepare tax analyses, draft memos and opinions, and review and mark up contracts.
  • Negotiate with opposing counsel on complex transactional matters.
  • Handle complex contractual work with a vigilant eye for detail and a creative approach to problem-solving.

Requirements:

  • 4+ years of domestic taxation law experience, particularly in partnership tax or tax credits.
  • Strong academic record and intellectual curiosity.
  • Demonstrated commercial and business awareness.
  • Outstanding communication skills, both oral and written.
  • Strong time management skills with the ability to manage multiple projects simultaneously.
  • Excellent drafting skills.
  • Experience with renewable energy tax credits, project finance, and partnership and M&A transactions.
  • Comfort with handling complex transactional work.
  • Admitted to the Bar and in good standing.

Education and Certifications:

  • Juris Doctor (JD) from an accredited law school.
  • Admission to the Bar and in good standing.
