Job Overview:

A prominent law firm is seeking a Mid-level Corporate Associate Attorney with 4-6 years of experience in Mergers & Acquisitions (M&A) and private equity to join its Denver office. The ideal candidate will have significant experience in handling complex domestic and cross-border transactions, working on both the buy and sell-side, and providing counsel on strategic alliances, joint ventures, and other strategic transactions.

Location:

  • Denver, CO

Duties:

  • Advise clients on M&A and private equity transactions, including acquisitions, divestitures, and leveraged buyouts
  • Handle complex structural and corporate matters related to joint ventures, spin-offs, carve-outs, and recapitalizations
  • Provide counsel on both buy-side and sell-side transactions, including cross-border deals
  • Draft and review transaction documents and agreements
  • Collaborate with clients to develop strategic solutions for various corporate transactions
  • Communicate complex legal matters effectively in both written and oral form
  • Take on increased responsibility for transactions, demonstrating leadership and initiative

Requirements:

  • 4-6 years of experience in M&A, private equity, and strategic transactions
  • Proven expertise in handling domestic and cross-border M&A transactions
  • Strong understanding of corporate issues related to acquisitions and strategic alliances
  • Excellent communication skills for complex legal matters
  • Demonstrated leadership and initiative in managing transactional work
  • Bar admission in Colorado preferred, but not required

Education:

  • Juris Doctor (JD) degree from an accredited law school

Certifications:

  • Active bar membership in good standing (Colorado preferred but not required)

Skills:

  • Expertise in M&A, private equity, and corporate transactions
  • Proficient in drafting and reviewing transaction documents and agreements
  • Strong analytical and problem-solving skills for complex corporate issues
  • Ability to communicate effectively and manage client relationships
  • Demonstrated ability to work well under pressure and meet tight deadlines
