A law firm in Columbus, OH is seeking a Corporate Associate Attorney with 3+ years of experience to handle complex business transactions. The ideal candidate will have a strong background in mergers and acquisitions or corporate finance transactions and the ability to manage diverse corporate matters such as business formation, corporate governance, and securities. This role offers the opportunity to work closely with clients on high-stakes corporate deals and provide strategic legal counsel on a variety of corporate issues.

Duties:

  • Handle complex corporate transactions, including mergers and acquisitions, corporate financing, and business formation.
  • Advise clients on corporate governance matters, ensuring compliance with regulations and best practices.
  • Draft, review, and negotiate corporate documents such as purchase agreements, shareholder agreements, operating agreements, and other corporate contracts.
  • Provide legal counsel on securities law compliance and related contract matters.
  • Assist clients in structuring and executing corporate and project financing deals.
  • Conduct due diligence for mergers, acquisitions, and other corporate transactions.
  • Collaborate with clients and internal teams to develop strategies for corporate structuring and transaction execution.
  • Manage and coordinate the legal aspects of corporate transactions from initial negotiation to closing.
  • Stay current on changes in corporate law, finance regulations, and industry trends to provide proactive legal advice.

Requirements:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the Ohio State Bar and in good standing.
  • 3+ years of experience handling corporate transactions, preferably in mergers and acquisitions or corporate finance.
  • Proven ability to manage multiple corporate matters and transactions efficiently.

Certifications:

  • Admission to the Ohio Bar (required).
  • Additional certifications in corporate law or finance (preferred but not required).

Skills:

  • Strong legal research and writing skills, with the ability to draft and review complex corporate documents.
  • Excellent negotiation and communication skills for handling business transactions and advising clients.
  • Deep knowledge of corporate law, including mergers and acquisitions, corporate governance, and financing.
  • Strong project management and organizational skills to manage multiple corporate deals and ensure deadlines are met.
  • Attention to detail and analytical skills for reviewing contracts, identifying risks, and advising on strategic solutions.
  • Ability to work both independently and collaboratively in a team environment, particularly in high-stakes corporate transactions.
