A law firm seeks an experienced Of Counsel - Transactional Franchise Attorney to join its practice in Wilmington, DE, with the option for remote work. This role is designed for a seasoned attorney with extensive experience in U.S. franchising regulations, adept at drafting franchise agreements and handling regulatory filings. The position involves advising clients on complex business transactions in the franchise sector, serving a range of domestic and international clients.

Duties:

  • Draft and review franchise agreements, franchise disclosure documents, and related regulatory filings.
  • Provide counsel on complex business transactions involving franchise and distribution matters.
  • Advise clients on compliance with U.S. franchising laws, addressing both domestic and international concerns.
  • Collaborate with a team of attorneys on a wide spectrum of franchise-related litigation and transactional matters.
  • Serve a diverse client portfolio, including start-up franchisors, established brands, private equity firms, and international companies entering the U.S. market.

Requirements:

  • Minimum of 8 years’ experience in transactional franchise law.
  • Proficiency in U.S. franchise regulations, with additional international franchise or M&A experience preferred.
  • Admission to practice law in Delaware, or eligibility for admission via waiver.
  • Strong analytical, drafting, and writing skills.
  • Ability to work both independently and as part of a collaborative team.

Education:

  • Juris Doctor (J.D.) degree from an accredited law school.

Certifications:

  • Active membership in good standing with the Delaware State Bar or eligibility for admission.
