A law firm seeks a highly motivated corporate transactions associate to join its Transactions Practice Group in Palo Alto, CA. This position offers the opportunity to work on a diverse range of corporate matters, including venture capital financing, mergers and acquisitions, private equity transactions, and general corporate counseling for clients ranging from emerging companies to established businesses. Duties

  • Handle venture capital/early-stage financing transactions.
  • Work on mergers, acquisitions, dispositions, joint ventures, and other commercial deals.
  • Provide general corporate counsel to publicly and privately held companies, private equity funds, and entrepreneurs.
  • Draft and review sophisticated transaction documents.
  • Manage complex projects and ensure timely completion.
  • Collaborate closely with partners and clients, maintaining open communication and fostering strong relationships.

Requirements

  • 2-5 years of relevant experience in corporate transactions.
  • Demonstrated ability to manage venture capital and early-stage financings.
  • Experience with mergers, acquisitions, and joint ventures.
  • Proven track record in drafting and negotiating complex legal documents.
  • Exceptional organizational and project management skills.
  • Positive attitude, strong interpersonal skills, and a commitment to delivering high-quality work.

Education

  • Juris Doctor (JD) degree from an ABA-accredited law school.

Certifications

  • Active membership in good standing with the Bar of the jurisdiction(s) where the candidate is licensed to practice.
  • Must be willing to obtain timely admission to the California Bar if not already admitted.
