Job Overview:
A prestigious law firm based in New York City is seeking an experienced Mid-Level Capital Markets, Derivatives Associate Attorney to join their team. This position offers the opportunity to work on complex derivatives transactions and provide strategic legal advice to financial institutions, funds, and corporate clients. The ideal candidate will possess significant experience in structuring, negotiating, and documenting derivatives products, as well as advising clients on regulatory matters in a rapidly changing market environment.

Duties:

• Represent financial institutions, funds, and corporate clients in the structuring, development, negotiation, and documentation of derivative products, including interest rates, currency, and commodity derivatives.

• Provide legal counsel on complex derivatives transactions such as total return swaps, equity derivatives, repo, securities lending, and other structured financial products.

• Advise sponsors, borrowers, and lenders on hedging strategies in project and corporate financing transactions from both transactional and regulatory perspectives.

• Guide clients on futures, clearing, and prime brokerage documentation, addressing issues like netting, margin, and regulatory concerns.

• Offer expertise on regulatory matters surrounding derivatives, including compliance with the Dodd-Frank Act, Commodity Exchange Act, and related CFTC, SEC, and prudential regulations.

• Assist clients in navigating legal challenges posed by fintech and digital assets.

• Support business development by preparing client pitch materials, organizing training sessions, and maintaining strong client relationships.

• Mentor and train junior associates in the practice area.

Requirements:

• J.D., LL.M., or U.S. equivalent in law.

• At least 3 years of professional experience in an international law firm providing legal counsel on derivatives products and related transactions.

• Demonstrated expertise in structuring, developing, negotiating, and documenting derivatives, including equity derivatives, repo, securities lending, and commodity transactions.

• Strong knowledge of regulatory frameworks, including the Dodd-Frank Act, Commodity Exchange Act, and CFTC, and SEC regulations.

• Proven ability to manage cross-border, high-value projects, including renewable energy and infrastructure transactions.

• Experience in training and mentoring junior team members.

• Admission to the New York State Bar.

Education:

• Juris Doctor (J.D.) degree or its U.S. equivalent is required.

Certifications:

• Must be admitted to the New York State Bar.
