A law firm seeks an experienced Mergers & Acquisitions (M&A) Resource Attorney to support its transactional legal team. This role is focused on enhancing the efficiency of the firm’s M&A practice by managing key resources, creating legal documents, and staying informed on relevant regulatory changes. The successful candidate will have at least 7 years of experience in M&A law, exceptional organizational skills, and a collaborative mindset, contributing to both client service and internal knowledge management.

Duties:

  • Transaction Database Management:
    • Input deal terms into an updated Transaction Database.
    • Work with the knowledge management team to ensure the accuracy and continual maintenance of the database.
  • Form and Precedent Drafting/Management:
    • Prepare and revise templates for M&A documents.
    • Curate and organize precedents, forms, and other materials essential to the M&A practice.
  • Legal Updates:
    • Monitor legal and regulatory developments in the M&A field.
    • Prepare summaries and alerts to keep the team informed of changes.
    • Update internal resources to reflect new legal requirements.
  • Legal Education:
    • Collaborate with the education team to develop content for associate training sessions and other firmwide initiatives focused on M&A topics.
  • Marketing/Business Development:
    • Assist in promoting the M&A practice through content creation (e.g., blog posts, presentations, pitch materials).
    • Work closely with the marketing team to strategize on M&A-related promotional efforts.
  • Attorney Support:
    • Respond to day-to-day requests for precedents, templates, and resources from attorneys.
  • New Initiatives:
    • Participate in resource and knowledge management, and practice innovation projects as needed.
  • Other Duties:
    • Perform additional tasks as assigned or required by the firm.

Requirements:

  • At least 7 years of experience in U.S. M&A or corporate transactional law.
  • Strong understanding of public and private M&A transactions, corporate governance, fiduciary duties, and market trends.
  • Proficiency in legal document drafting and document management.
  • Excellent organizational skills with the ability to handle multiple projects simultaneously.
  • Strong attention to detail and the ability to manage complex tasks.
  • Experience working collaboratively with attorneys and other stakeholders.

Education:

  • Juris Doctor (JD) from an accredited law school.
  • Active membership in a U.S. state bar.

Certifications:

  • Licensed attorney with relevant legal experience.

Skills:

  • Exceptional drafting and organizational abilities.
  • Strong communication skills, both written and verbal.
  • Ability to prioritize and manage multiple projects in a fast-paced environment.
  • Attention to detail, particularly in document creation and quality control.
