Job Overview

A New York City, NY law firm is seeking a Mid-Level to Senior Capital Markets Associate Attorney. The ideal candidate will have 3-6 years of experience handling substantive components of various corporate and transactional matters, focusing on capital markets transactions, including SEC reporting, debt and equity offerings, and IPOs. Duties

  • Handle substantive components of a variety of corporate and transactional matters.
  • Focus on capital markets transactions, including SEC reporting, debt and equity offerings, and IPOs.
  • Draft, review, and negotiate a wide range of transactional documents.
  • Advise clients on securities law compliance and corporate governance matters.
  • Conduct due diligence and prepare disclosure schedules.
  • Assist in preparing offering documents, including registration statements and prospectuses.
  • Provide legal counsel on mergers and acquisitions and other strategic transactions.
  • Collaborate with other attorneys, paralegals, and staff to ensure comprehensive service delivery.
  • Stay current with changes in capital markets regulations and industry trends.

Requirements

  • 3-6 years of relevant capital market and corporate transactions experience.
  • Demonstrated experience with SEC reporting, debt and equity offerings, and IPOs.
  • Strong knowledge of securities laws and corporate governance.
  • Proven ability to handle multiple projects simultaneously and meet deadlines.
  • Excellent analytical, drafting, and negotiation skills.
  • Strong interpersonal skills with the ability to work effectively in a team environment.
  • Detail-oriented and self-motivated with a commitment to providing high-quality legal services.

Education

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the New York State Bar.

Certifications

  • Active membership in good standing with the New York State Bar.
