A law firm seeks a skilled and detail-oriented Investment Management Associate Attorney to join its Chicago office. The ideal candidate will have 3-8 years of experience working with investment companies, including expertise in the Investment Company Act of 1940, the Investment Advisers Act of 1940, and related securities regulations. This is a unique opportunity to contribute to a growing practice, manage high-profile investment management matters, and collaborate with a team of professionals dedicated to excellence.

Duties:

  • Advise registered investment companies on regulatory matters involving the Investment Company Act of 1940, the Investment Advisers Act of 1940, and other related securities regulations.
  • Draft, review, and assist with the filing of registration statements and offering documents.
  • Prepare board meeting materials, investment management agreements, and other related documents.
  • Provide legal counsel on compliance with securities laws and regulations affecting investment management.
  • Manage client relationships, providing clear and timely advice on complex legal matters.
  • Keep clients and internal teams updated on developments in relevant laws and regulations.
  • Collaborate with senior attorneys to develop strategies for handling complex cases.

Requirements:

  • 3-8 years of experience in investment management law, including knowledge of the Investment Company Act of 1940 and the Investment Advisers Act of 1940.
  • Experience representing registered investment companies and preparing regulatory filings and legal documents.
  • Strong written communication skills with exceptional attention to detail.
  • A problem-solving, proactive attitude, and strong intrinsic motivation.
  • Ability to work collaboratively with others while managing multiple responsibilities.
  • Excellent academic credentials.
  • Ability to handle complex legal issues with precision and clarity.
  • Admission to the bar in the jurisdiction where the attorney practices (Illinois preferred).

Education:

  • Juris Doctor (JD) from an accredited law school.

Certifications:

  • Active membership in the Illinois State Bar (or eligibility to practice in Illinois).
  • Additional bar certifications in other jurisdictions are a plus.

Skills:

  • In-depth knowledge of investment management law, including key statutes such as the Investment Company Act of 1940.
  • Ability to draft and review regulatory filings, including registration statements and offering documents.
  • Strong legal research and writing skills.
  • Ability to communicate complex legal concepts effectively with clients and colleagues.
  • Exceptional organizational and time management skills.
  • Strong client service orientation and attention to client needs.
