A law firm based in Palo Alto, CA, is seeking a highly motivated Capital Markets/Fintech/Securities Associate Attorney with 3-6 years of experience to join their team. The ideal candidate will possess a thorough understanding of U.S. securities laws and demonstrate expertise in advising clients on equity and debt capital markets transactions, SEC reporting, and general corporate matters. Additionally, the candidate should have a keen interest in cutting-edge FinTech work and prior experience in the FinTech sector. Strong academic credentials, client management skills, and a drive for achievement are essential for success in this role.

Duties:

  • Provide legal guidance and support to clients on public and private company equity and debt capital markets transactions.
  • Advise clients on SEC reporting requirements and ensure compliance with relevant regulations.
  • Counsel public and private companies on various financings and general corporate matters.
  • Conduct legal research and analysis related to securities laws and FinTech regulations.
  • Draft and review legal documents, including contracts, agreements, and prospectuses.

Requirements:

  • Juris Doctor (J.D.) degree from an accredited law school.
  • Admission to the state bar and in good standing.
  • 3-6 years of experience in capital markets, securities, or related practice areas.
  • Familiarity with U.S. securities laws and regulations.
  • Prior transactional and/or regulatory experience in the FinTech sector.
  • Strong achievement drive and a track record of delivering high-quality work.
  • Excellent written and verbal communication skills.
  • Ability to manage multiple projects and deadlines effectively.

Certifications:

  • Admission to the state bar.
